Institution Non-Disclosure Agreement
This Non-Disclosure Agreement ("Agreement") is between BigBeeSec, a unit of Geethanjali Technologies ("BigBeeSec"), and the educational institution that accepts it ("Institution"), acting through its authorised representative. Acceptance is recorded with the representative's name, the date, and the IP address.
1. Purpose
The parties wish to share confidential information to evaluate and operate a cybersecurity education partnership, including onboarding, domain assignment, departments, student enrolment, and pricing.
2. Confidential information
"Confidential information" means non-public information disclosed by either party, including commercial terms, pricing, platform materials, security details, student and staff personal data, and any information marked or reasonably understood to be confidential. Personal data is also governed by the Data Processing Agreement.
3. Obligations
Each party agrees to:
- use the other's confidential information only for the partnership;
- disclose it only to personnel who need it and are bound by confidentiality;
- not disclose it to third parties without prior written consent; and
- protect it with at least the care it uses for its own confidential information, and no less than reasonable care.
4. Exclusions and compelled disclosure
Standard exclusions apply for information that is public, already known, independently developed, or rightfully received from a third party. If disclosure is legally compelled, the disclosing party will give prompt notice where lawful and limit disclosure to what is required.
5. Term and return
This Agreement applies for the partnership and confidentiality obligations survive for 3 years after it ends, and indefinitely for trade secrets. On request, each party will return or destroy the other's confidential information, subject to legal retention needs.
6. General
No licence is granted except as stated. This Agreement is governed by the laws of India, and supplements the partnership agreement and the Data Processing Agreement. The courts at Hyderabad, India have jurisdiction, subject to any arbitration the parties separately agree.
