Employee Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is between BigBeeSec, a unit of Geethanjali Technologies ("Company"), and the employee, contractor, or intern who accepts it ("you"). Acceptance is recorded with your name, the date, and the IP address.

1. Confidential information

"Confidential information" means non-public information you access in your role, including source code, infrastructure and security details, user and institution personal data, business and financial information, course and lab materials, vulnerability information, credentials, and anything marked or reasonably understood to be confidential.

2. Obligations

You agree to:

  • use confidential information only to perform your duties for the Company;
  • keep it secret and not disclose it to anyone outside the Company without authorisation;
  • follow the Company's security policies, including access controls, device security, and handling of personal data;
  • not remove or copy confidential information except as needed for your work and permitted by policy; and
  • report any suspected loss or unauthorised disclosure immediately.

3. Personal data and security

You will handle personal data strictly per the Privacy Policy, the Data Retention Policy, and Company security procedures, on a least-privilege basis. Misuse of user data, including unauthorised access, is grounds for termination and may be unlawful.

4. Intellectual property

Work product you create in your role belongs to the Company to the extent permitted by law, and you will assist with formalities to record that ownership.

5. Return on exit

On separation you will return or delete all confidential information and Company property, and your access will be revoked as part of offboarding. Confidentiality obligations survive the end of your engagement for 3 years, and indefinitely for trade secrets.

6. General

This Agreement supplements your employment or engagement contract and Company policies. It is governed by the laws of India. Nothing in it prevents lawful whistleblowing or any disclosure that cannot be restricted by law.
